Reminder: Annual General Meeting 2021

Our Annual General Meeting (AGM) this year is scheduled for 1 December 2021 (Wednesday) at The Cityview, 23 Waterloo Road, Yau Ma Tei, Kowloon. You are warmly invited to join.

In our AGM, we are proposing an amendment to the Articles of Association of HKAHSS as an error was found in Article 49. The phrase “or in a different” was erroneously added in Article 49¹ which is inconsistent with Clause 18² of The Constitution of the HKAHSS effective before the incorporation of the Association. The error, which binds the terms of service of an Executive Member to the maximum of two consecutive terms only, will adversely affect the subsequent formation of the Executive Committee of HKAHSS.

To rectify the error the following Special Resolution is proposed to be passed in the AGM on 1 December 2021:

“THAT the Articles of Association of the Company be and are hereby amended as follows:

 

In Article 49:

by deleting the following words “An Executive Committee member can serve at the maximum of 2 consecutive terms of services in the same or in a different office-bearing post if re-elected by the end of the first term” and replacing with the following words “An Executive Committee member can serve unlimited terms if re-elected but can only serve in the same office-bearing post at the maximum of 2 consecutive terms” in the 5th line.

AND THAT the Company Secretary of the Company is authorized to deliver this Special Resolution to the Registrar of Companies for registration.”

1. Article 49 of The Articles of Association of the HKAHSS
   The term of service for each newly elected Executive Committee member is 3 years, but for Executive Committee member who is elected to fill a vacancy arising from an Executive Committee member not completing his or her term of office should only serve the remaining term. An Executive Committee member can serve at the maximum of 2 consecutive terms of services in the same or in a different office-bearing post if re-elected by the end of the first term.

2. Clause 18 of The Constitution of the HKAHSS
   The Executive Committee, hereinafter called the Committee, shall consist of 9 members elected at Annual General Meetings. The term of service for each newly elected Committee Member is 3 years. A Committee Member can serve at the maximum two consecutive terms of services in the same office-bearing post if re-elected by the end of the first term.
